Board and management developments

Leading European transport services group Arriva plc today announced a number of Board and management changes.

After more than 33 years of service to the public transport industry, the last 11 as an executive director of Arriva, Steve Clayton has decided to retire following the company's next annual general meeting on 22 April, 2009.

Also retiring from the Board on the same date will be Veronica Palmer, having served Arriva as a non-executive director for nearly eight years.

Angie Risley, group human resources director of Lloyds TSB, will be appointed to the Board on 9 March 2009 as a non-executive director. Ms Risley has formerly been an executive director of Whitbread PLC, a member of the Low Pay Commission, and a non-executive director of Biffa Plc. Her extensive experience of management in labour-intensive consumer facing industries will be a valuable addition to the Board.

Arriva's chairman, Sir Richard Broadbent said: "On behalf of the Board I would like to thank Steve and Veronica for their long term commitment and contribution to the group. I also welcome Angie's appointment and look forward to working with her".

Following Steve Clayton's retirement, Arriva's Executive Committee will consist of five members, with the following divisional responsibilities reflecting the structure of the group:

  • David Martin: chief executive*
  • Steve Lonsdale: group finance director*
  • David Evans: managing director – Mainland Europe
  • Mike Cooper: managing director – UK Bus
  • Bob Holland: managing director – UK Trains

David Martin said: "I established the Executive Committee below Board level a year ago. This evolution reflects the development of our senior management talent, and creates divisional responsibilities consistent with our declared strategy."

Steve Clayton

After graduating from London University in 1975, Steve held various management positions with London Transport. He was managing director of Leaside Bus Company Limited from 1988, which in 1994 was acquired by the Cowie Group, which subsequently became Arriva. Steve was appointed to the Arriva plc Board in February 1998 with responsibility for the group's UK bus operations. In March 2005 he was appointed group managing director - corporate affairs, with responsibility for human resources, health, safety and the environment, technical services and corporate communications and all government relations activities across the group. Steve has also played a significant wide role in the industry and was president of the Confederation of Passenger Transport UK in 2005 and has been a member of its Council since 1998.

Veronica Palmer OBE

Veronica was appointed to the Board as a non-executive director in September 2001.
She held the position of director general of the Confederation of Passenger Transport UK from 1989 until June 2001. Earlier she worked in the brewing industry's trade association as parliamentary secretary following a successful career in the Royal Air Force and work as an employment consultant in Europe. Veronica has an MBE for military services and an OBE for services to the transport industry. She is chairman of the Northern Ireland Transport Holding Company Board.

Angie Risley

Angie Risley is the group human resources director for Lloyds TSB and a member of the group executive committee, reporting directly to Eric Daniels, group chief executive. She is responsible for developing group-wide people practices for all Lloyds TSB employees. Within this remit, she has responsibility for reward & employment policy, organisation, talent & learning development, HR service delivery and equality & diversity.

Prior to joining Lloyds TSB in May 2007, Angie was group human resources director for Whitbread and also an executive director on the Whitbread PLC Board, which she joined in 2004. Her responsibilities included human resource strategy, policy and its implementation as well as corporate social responsibility for the group. She was a non-executive director of Biffa Plc, which was demerged from Severn Trent in 2006, until it was acquired earlier this year in a private equity backed deal.
