Statement regarding Keolis SA ("Keolis")

Arriva plc (“Arriva” or the “Company”)notes the recent press reports and movement in the Company’sshare price. The Company confirms that it has held very preliminarydiscussions with Société Nationale des Chemins de ferFrançais (“SNCF”) regarding a possiblecontribution of all or part of Keolis' transportation business toArriva to create a significantly enhanced and leading Europeantransportation business focused on the increasing liberalisation ofthe transportation market in Europe.

The Board affirms that discussions are at a preliminary exploratorystage and there is no certainty that any agreement will bereached.
